Terms of Service

1. Acceptance of Terms

By accessing and using SmartLynxAI LLC services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Services Description

SmartLynxAI LLC provides custom consulting services including:

• Serverless backend development and architecture
• Data source integration and API development
• Custom GPT design and deployment
• Compliance and security consulting
• Ongoing support and maintenance services

3. Engagement Terms

All consulting engagements are subject to:

• A signed Statement of Work (SOW) detailing scope, timeline, and deliverables
• Payment terms as specified in the SOW
• Mutual confidentiality agreements
• Intellectual property agreements

4. Payment Terms

Payment terms vary by engagement type:

• Fixed-price projects: 50% upfront, 50% upon completion
• Hourly consulting: Net 30 payment terms
• Ongoing support: Monthly billing in advance
• Late payments may incur a 1.5% monthly service charge

5. Intellectual Property

Intellectual property rights are handled as follows:

• Custom code developed for clients becomes client property upon full payment
• SmartLynxAI retains rights to general methodologies and frameworks
• Third-party tools and libraries remain under their respective licenses
• Client data remains the exclusive property of the client

6. Confidentiality

SmartLynxAI LLC maintains strict confidentiality regarding all client information, data, and business processes. We implement appropriate technical and organizational measures to protect confidential information and will not disclose such information to third parties without explicit client consent.

7. Limitation of Liability

SmartLynxAI LLC's liability is limited as follows:

• Total liability shall not exceed the amount paid for services in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• Client is responsible for backing up their data
• We provide services "as is" without warranties beyond those in the SOW

8. Termination

Either party may terminate an engagement:

• With 30 days written notice for ongoing services
• Immediately for material breach of contract
• Client remains responsible for payment of work completed
• SmartLynxAI will provide reasonable transition assistance

9. Compliance and Security

SmartLynxAI LLC follows industry best practices for security and compliance. We can work within client-specific compliance requirements (SOC 2, GDPR, HIPAA, etc.) as specified in the Statement of Work. Additional compliance requirements may affect project scope and pricing.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where SmartLynxAI LLC is incorporated. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.

11. Changes to Terms

SmartLynxAI LLC reserves the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
